Board of Directors

The board of directors is the executing entity of the association. They are elected annually by the membership of the association at the annual meeting.

The board is the decision making entity of the association and it makes its decisions by a director's vote and a majority decision.

Board of Directors Charter

The charter of the board is to execute the business of the association according to laws, governing documents, and in so doing they aim to achieve the objective of the association.

Board Organization

The board is comprised of five directors. The following special titles are assigned to individual directors:

The directors decide among them selves who are going to execute and have a certain title.

The board of directors is appointing committees to off load work load from the board and broaden homeowner input in certain areas.

The board is hiring a property manager to execute the daily business of the association.

Board Operations

The board operates through monthly board meetings and when necessary additional operational meetings. All meetings of the board are open to the membership but members may not participate in the meeting proceedings, all members are however welcome to come and listen to the proceedings but may not interrupt them. Usually the floor is open for questions and comments after the proceedings have closed.

At these meetings items of the business of the association is presented to the board. The directors discuss the items, motions are made and a vote is taken as to approve or decline each individual motion.

Items are presented to the board by a director of the board, a committee, the property manager or an outside contractor brought in for this particular purpose.

The current state of the association is also presented at each monthly board meeting.

Delegated Authority

While the board of directors is the only and absolute decision making entity of the association some decision making is for daily practical purposes delegated to the President of the board and to the Property manager.

There is two exceptions to this, the Architectural committee and the Compliance committee.
